PBSA Transactions

How UK purpose-built student schemes change hands — process, documents, and the consents that decide whether a deal actually closes.

What a PBSA transaction is

PBSA transactions are the sale, purchase, or recapitalisation of a purpose-built student scheme or a book of schemes. The occupational product is student housing; the legal product is usually a commercial property or share deal with an operator contract attached.

Buyers come for income and location. What they actually buy is title, a rent roll, a management agreement, and any university nomination. Miss one of those and the bid is incomplete. Live stock is listed on PBSA for sale; city context is under UK PBSA, including London and Manchester.

UK coverage: 1,849 active schemes across 78 cities (62 cities with a hub page). As of 20 October 2026. These are PBSAX coverage figures, not a national census. See PBSA news for the dated snapshot, and city pages under UK PBSA.

How deals typically run

StageWhat happens
Mandate and processOff-market approach, limited auction, or full marketed sale.
Heads of termsPrice basis, exclusivity, and which contracts must novate.
DiligenceTitle, tenancies, operator, building, tax, and university papers.
Valuation and debtRed Book valuation if geared; credit papers in parallel.
ExchangeSPA or share-purchase agreement; deposits and conditions.
CompletionFunds, operator handover, and any nomination consents.

Development and forward-funded deals add land, planning, and construction drawdown. Those structures sit in financing as well as here. Standing-asset buyers should still read the due diligence checklist before they mark a process “simple”.

Operator, university, and lender consents

Change-of-control language in the management agreement and in any nomination agreement can block or delay completion. Lenders have their own assignment and security requirements. Map those consents at heads of terms, not after exchange.

Portfolio sales need an allocation schedule and a view of each city on its own. A blended bid that hides one weak scheme is a diligence failure. Return concepts are in the investment guide. Advisers and operators are in the directory.

FAQs

How do PBSA transactions usually complete?

Most standing-asset deals are an asset sale or an SPV share sale. Parties agree heads of terms, run due diligence, instruct a Red Book valuation if debt is involved, then exchange and complete on an SPA or share-purchase agreement with operator and lender consents.

What is the difference between a marketed sale and an off-market deal?

A marketed process uses an agent and an information memorandum, often with staged bids. Off-market deals start from a relationship or a mandate and can be faster, but the buyer still needs the same diligence pack. Live schemes sit on PBSA for sale; this page is the process, not the listings.

Why do portfolios trade differently from single schemes?

Portfolio sales add allocation of price, shared services, and sometimes a single operator across cities. One weak scheme can hold the whole book. Model each city on its own rent roll before you accept a blended bid.

What happens to the operator on a sale?

The management agreement may novate, stay in place, or need consent to change. University nominations can have their own change-of-control clauses. Those consents are on the critical path, not a completion-day surprise.

Where can I see schemes for sale?

Listings are on PBSA for sale. This page explains deal mechanics for investors and advisers. It does not replace a data room.
